You retain ownership of any data you upload or connect to the Services. By using the Services, you grant us a limited, non-exclusive licence to process your data solely to provide and improve the Services.
Where Services are offered on a paid basis, pricing and payment terms will be specified at the point of purchase or in a separate service agreement. All fees are non-refundable unless expressly stated otherwise or required by applicable law. We reserve the right to modify pricing with reasonable notice.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PHIRA DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHIRA AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD 100.
You agree to indemnify, defend, and hold harmless Phira and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.
We reserve the right to suspend or terminate your access to the Services at our sole discretion, with or without notice, for any breach of these Terms or for any other reason. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will do so, including sections on intellectual property, disclaimers, limitation of liability, and governing law.
These Terms are governed by and construed in accordance with the laws of Kenya. Any dispute arising from or related to these Terms or the Services shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya.
We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, for registered users, by email notification. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
